軌道交通集團境外綠色債券年度報告

天津軌道交通集團有限公司(以下簡稱“軌道交通集團”或“本公司”)于20182月公布《天津軌道交通集團綠色債券框架》,在該框架下公司計劃爲定義的合格綠色項目進行全部或部分再融資,這與《國家環境保護“十三五”規劃基本思路》、發展京津冀地區建設發展的思路相一致。軌道交通集團也聘請Sustainalytics對《天津軌道交通集團綠色債券框架》出具了獨立第二意見,並獲Sustainalytics確認該框架符合綠色債券工作小組 (GBWG)和可持續發展目標 (SDGs)要求。

一、綠色債券基本情況

軌道交通集團境外子公司軌道國際發展有限公司于20183月發行4億歐元綠色債券,票息1.625%,創造了發行時點當期中資歐元債券定價最低水平,此次債券是中資地方國企首單歐元綠色債券、中資交通運輸行業首單境外綠色債券及首單維好協議結構的境外綠色債券。

軌道交通集團綠色債券募集的資金都被存放在一般資金賬戶,采用“標記”的方式標識,直至分配到合格的綠色項目中。截至2019630日,軌道交通集團已經完全將綠色債券的募集資金分配至符合資格的項目。

1.軌道建設和維護

天津市區至濱海新區間的城市軌道交通工程的建設和維護,線路全長52.2公裏,車站21座。

2.更新票務設備

對津濱輕軌9號線自動售檢票系統的中央計算機系統、車站級計算機系統、車站終端設備、測試及培訓系統、維修系統等進行改造升級,以及供電設備和空調設備的相關配套改造。

ANNUAL REPORT ON TIANJIN RAIL TRANSIT OFFSHORE GREEN BOND

 

Tianjin Rail Transit Group Co., Ltd. (“TRT” or the “Company”) has published Tianjin Rail Transit Green Bond Framework (the “Framework”) in February 2018. Under this Framework, TRT plans to in full or in part refinance eligible green assets, which is consistent with The Basic Ideas of the National Environmental Protection "13th Five-Year Plan"(《國家環境保護“十三五”規劃基本思路》) and the initiative of developing Jing-Jin-Ji (京津冀) Area. TRT also engaged Sustainalytics to issue an independent Second Party Opinion for the Framework, and obtained the conclusion by Sustainalytics that the Framework is compliant with the requirements of The Sustainable Development Goals (SDGs) and Green Bond Working Group (“GBWG”).

 

I. Basic Information of TRT Green Bond

Rail Transit Development Co., Ltd., an overseas subsidiary of TRT, issued EUR 400 million 4.25-year Green Bond (coupon: 1.625%) in March 2018, achieving  the lowest re-offer yield of Chinese corporate issuers’ EUR Bonds around the time of that issuance. This transaction represents the first EUR Green Bond issued by Chinese local state-owned enterprise, and marks the first offshore Green Bond issuance adopting keepwell and liquidity support deed structure. It is also the first offshore Green Bond issuance from Chinese transportation and infrastructure industry.

Proceeds of TRT Green Bond will be recorded in “a Green Bond Register” and stored in a general account until being allocated to eligible green assets. As of 30 June 2019, TRT has fully allocated the proceeds of TRT Green Bond into eligible projects.
